These Valye Author Terms (“Author Terms”) govern your access to and use of the Valye author tools, submission forms, draft features, community article workflows, and related services made available by [Valye Services] (“Valye,” “we,” “us,” or “our”).
These Author Terms apply to any person or entity who submits ideas, outlines, source materials, article requests, drafts, commentary, or other content to Valye through any author portal, submission form, website feature, dashboard, email workflow, or related service (collectively, the “Author Services”).
By using the Author Services, creating or submitting content, or clicking to accept these Author Terms, you agree to be bound by them. If you do not agree, do not use the Author Services.
These Author Terms supplement our general website Terms of Use and Privacy Policy. If there is a conflict between these Author Terms and our general Terms of Use with respect to the Author Services, these Author Terms control.
To use the Author Services, you represent and warrant that:
Valye may refuse access to the Author Services or remove any submission at any time in its sole discretion.
The Author Services may allow you to:
Valye may add, modify, suspend, or discontinue any part of the Author Services at any time without liability.
Submission of content through the Author Services does not guarantee:
Valye may accept, reject, edit, delay, depublish, archive, or remove any submission for any reason or no reason.
For purposes of these Author Terms, “Submissions” means any content, materials, prompts, drafts, article requests, ideas, text, images, links, files, comments, metadata, notes, suggestions, feedback, or other materials you submit, upload, generate, or transmit through the Author Services.
You are solely responsible for your Submissions and for the consequences of submitting them.
As between you and Valye, and subject to the rights you grant below, you retain whatever ownership rights you may have in your original Submissions.
However, by submitting content through the Author Services, you grant Valye the broad rights described in these Author Terms so that we can operate, review, improve, edit, publish, distribute, promote, archive, and otherwise use your Submissions in connection with our business and editorial operations.
By submitting any Submission to Valye, you grant Valye and its affiliates, service providers, successors, licensees, and distribution partners a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:
This license survives termination of your account or use of the Author Services to the extent necessary for Valye to maintain archives, records, backups, legal compliance, previously published materials, and business continuity.
If you do not want Valye to have these rights, do not submit content through the Author Services.
Valye has complete editorial discretion over all Submissions and any content derived from them. Without limiting the foregoing, Valye may:
Valye is not obligated to seek your approval before editing or publishing unless otherwise agreed in writing.
The Author Services may include AI-assisted features that help generate suggestions, summaries, structures, headlines, outlines, or draft content.
You understand and agree that:
You must not rely solely on AI-generated output where accuracy, legality, disclosure, or source verification is required.
By using the Author Services or making any Submission, you represent, warrant, and covenant that:
You may not use the Author Services to submit, request, generate, or distribute content that:
Valye may remove, block, investigate, or report such content as it deems appropriate.
Valye may publish content relating to public companies, markets, industries, macroeconomic conditions, or investing-related topics. You acknowledge and agree that:
Valye may require or add conflict-of-interest disclosures, compensation disclosures, or editorial disclaimers at its discretion.
You agree to disclose to Valye any material conflict of interest related to your Submission, including:
Valye may reject, edit, label, or remove content that lacks adequate disclosure.
Unless Valye has expressly agreed otherwise in writing, you agree that your Submissions are not confidential and may be reviewed by automated systems, editors, contractors, service providers, and internal personnel.
Please do not submit confidential business plans, source code, trade secrets, nonpublic financial information, or proprietary information you do not want reviewed or retained in accordance with these Author Terms and our Privacy Policy.
If you send Valye ideas, suggestions, feature requests, workflow suggestions, product feedback, or editorial recommendations, you agree that Valye may use them without restriction or compensation to you, and you grant Valye a perpetual, irrevocable, worldwide, royalty-free license to use and exploit them for any purpose.
Valye may, but is not required to, attribute published content to you using the name, pen name, business name, profile name, biography, or handles you provide. You are responsible for ensuring your attribution information is accurate and that you have the right to use it.
Valye may remove or modify attribution at any time in its editorial discretion.
Unless Valye expressly agrees otherwise in a separate written agreement signed by an authorized representative of Valye:

If the Author Services require an account, you agree to:
Valye may suspend or terminate access to the Author Services at any time if it suspects misuse, unauthorized access, legal risk, or violation of these Author Terms.
The Author Services may allow you to view prior drafts, submission history, statuses, or related records. Valye does not guarantee that any draft, history item, upload, or status will remain available, accurate, or recoverable.
Valye may retain, delete, archive, or anonymize Submissions and related metadata in accordance with its business practices, legal obligations, and Privacy Policy.
Valye may, but is not obligated to, monitor Submissions, user activity, and use of the Author Services. Valye reserves the right to:
Valye’s failure to enforce any right at one time is not a waiver of that right.
Valye may remove or disable access to content if it believes removal is appropriate due to legal risk, rights claims, policy violations, reputational concerns, factual disputes, or editorial standards.
If you believe content published by Valye based on your Submission should be corrected or removed, you may contact us at [[email protected]]. Valye will review requests in its discretion and is not obligated to remove content except as required by law or separate written agreement.
If you believe content submitted to or published by Valye infringes your copyright, please send a notice to [[email protected]] with sufficient detail to identify the work, the allegedly infringing material, your contact information, and a statement of good-faith belief and authority, consistent with applicable law.
Valye may remove allegedly infringing content and may terminate repeat infringers where appropriate.
The Author Services may integrate with or link to third-party websites, files, platforms, tools, models, APIs, or services. Valye does not control and is not responsible for third-party content, policies, uptime, accuracy, or security.
Your use of third-party services is governed by those third parties’ own terms and policies.
Your use of the Author Services is also governed by the Valye Privacy Policy, available at [https://www.valye.com/privacy-policy].
By using the Author Services, you acknowledge that Valye may collect, store, use, and process personal information and submission-related data as described in the Privacy Policy and as reasonably necessary to operate the Author Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AUTHOR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
VALYE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, VALYE DOES NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALYE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT, OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE AUTHOR SERVICES OR THESE AUTHOR TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALYE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AUTHOR SERVICES OR THESE AUTHOR TERMS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (US $100), OR (B) THE AMOUNT, IF ANY, PAID BY VALYE TO YOU UNDER A SEPARATE WRITTEN CONTRIBUTOR AGREEMENT FOR THE SPECIFIC CLAIM GIVING RISE TO LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Valye and its affiliates, officers, directors, employees, contractors, service providers, licensors, successors, and assigns from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
Valye reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense.
Valye may suspend or terminate your access to the Author Services at any time, with or without notice, for convenience, legal risk, suspected misconduct, system abuse, or violation of these Author Terms.
Upon termination, the rights and obligations that by their nature should survive will survive, including provisions relating to licenses, ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
Valye may update these Author Terms from time to time. Updated versions will be posted with a revised “Last Updated” date. Your continued use of the Author Services after updated terms become effective constitutes your acceptance of the updated Author Terms.
If required by law, Valye will provide additional notice of material changes.
These Author Terms and any dispute arising out of or relating to them or the Author Services will be governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Author Terms or the Author Services will be resolved exclusively in the state or federal courts located in [Palm Beach, FL], and you consent to the personal jurisdiction and venue of those courts, unless a separate written agreement with Valye provides otherwise.
If you prefer, this section can instead be replaced with an arbitration clause reviewed by counsel.
These Author Terms constitute the entire agreement between you and Valye regarding the Author Services, except to the extent supplemented by a separate written agreement signed by Valye.
If any provision of these Author Terms is found unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer these Author Terms or any rights under them without Valye’s prior written consent. Valye may assign these Author Terms freely in connection with a merger, acquisition, corporate reorganization, or sale of assets.
No waiver of any provision will be deemed a further or continuing waiver of that or any other provision.
