This Contributor Agreement (“Agreement”) is entered into by and between [Valye Services], together with its affiliates, successors, and assigns (“Valye,” “we,” “us,” or “our”), and the individual or entity submitting, uploading, drafting, or providing content to Valye (“Contributor,” “you,” or “your”).
This Agreement governs your submission of articles, article ideas, commentary, drafts, links, source materials, supporting documents, media, and related content for possible review, editing, publication, distribution, or other use by Valye.
By clicking “I Agree,” submitting content through any Valye contributor portal, or otherwise providing content to Valye for editorial use, you agree to be bound by this Agreement. If you do not agree, do not submit content to Valye.
Valye operates editorial, research, community, and publishing workflows that may include user-submitted or contributor-submitted materials. This Agreement sets forth the terms under which you may submit content to Valye and the rights and obligations of both parties with respect to such content.
For purposes of this Agreement:
“Submission” means any article, article draft, thesis, outline, research note, prompt, commentary, chart, file, link, image, graphic, quote, citation, dataset, attachment, metadata, biography, byline information, social handle, or other material you submit, upload, generate, or transmit to Valye.
“Published Content” means any content that Valye chooses to publish, distribute, display, transmit, archive, syndicate, promote, or otherwise use publicly or internally, whether in original or edited form.
“Contributor Tools” means any Valye submission form, author portal, AI-assisted drafting tool, dashboard, upload page, review workflow, or related contributor feature.
You represent and warrant that:
This Agreement does not create any employment, agency, joint venture, partnership, fiduciary, or franchise relationship between you and Valye.
Unless expressly stated in a separate written agreement signed by Valye, you are acting as an independent contributor only. You are not authorized to make commitments on behalf of Valye or represent that you speak for Valye.
Valye has no obligation to review, publish, promote, compensate, respond to, or return any Submission.
Valye may accept, reject, remove, edit, delay, depublish, archive, or decline to use any Submission for any reason or no reason, in its sole discretion.
Submission of content does not guarantee publication, feedback, response, compensation, or continued availability of any draft or submission history.
You may submit content to Valye through the Contributor Tools or other approved channels. You remain solely responsible for your Submissions and for ensuring they are lawful, accurate, appropriately disclosed, and suitable for submission.
You acknowledge that Valye may use automated systems, moderation systems, and AI-assisted tools to process or evaluate Submissions.
As between you and Valye, you retain whatever ownership rights you may have in your original Submission, subject to the rights you grant to Valye in this Agreement.
You hereby grant to Valye and its affiliates, partners, service providers, contractors, licensees, successors, and assigns a worldwide, non-exclusive, irrevocable, perpetual, royalty-free, fully paid, transferable, and sublicensable license to:
This license survives termination of this Agreement and survives any removal of your account or contributor access, including with respect to already published, archived, licensed, distributed, or promoted materials.
Valye may publish your Submission in its original form or in modified form. Valye has sole editorial discretion over formatting, headlines, structure, summaries, disclosures, related links, source presentation, charts, excerpts, and placement.
Valye retains full and final editorial control over all Published Content. Without limiting the foregoing, Valye may:
Valye is not required to obtain your approval for edits unless otherwise agreed in a separate written agreement.
You represent, warrant, and covenant that:
You agree to disclose to Valye any material conflict of interest related to any Submission, including:
Valye may require specific disclosure language and may reject, edit, label, or remove content where adequate disclosure is not made.
Valye may publish content relating to companies, markets, industries, economic trends, and investment topics. You acknowledge and agree that:
Valye’s Contributor Tools may include AI-assisted features for outlining, drafting, suggesting arguments, summarizing materials, or otherwise helping create content.
You acknowledge and agree that:
Unless Valye expressly agrees otherwise in writing, your Submissions are not confidential.
Do not submit trade secrets, confidential business plans, unpublished proprietary research, source code, personal data, nonpublic company information, or other sensitive information unless Valye has expressly agreed in writing to receive it under separate confidentiality terms.
Valye may review Submissions internally and through service providers, moderation systems, and technical infrastructure necessary to operate the Contributor Tools.
To the maximum extent permitted by applicable law, you waive and agree not to assert any moral rights, droit moral, or similar rights in connection with Valye’s editing, formatting, adaptation, publication, non-publication, removal, or other use of your Submission.
Where waiver is not permitted, you agree not to assert such rights in a manner that interferes with the rights granted under this Agreement.
Valye may attribute Published Content to you using your legal name, pen name, company name, public profile name, biography, or other attribution details you provide.
Valye is not required to provide attribution in any specific form and may remove, shorten, modify, or omit attribution at its discretion, subject to any separate written agreement.
You represent that any byline, biography, headshot, and profile materials you provide are accurate and that you have the right to authorize their use.
Unless Valye expressly agrees otherwise in a separate written agreement signed by an authorized representative of Valye, all contributions are voluntary and unpaid.
Publication, review, editing, communication, or continued contributor access does not create any right to payment, reimbursement, commission, revenue share, royalties, or future work.
Any paid contributor arrangement must be set forth in a separate written agreement that states the compensation terms. Absent such signed written agreement, no compensation is owed.
If you receive compensation from Valye under a separate agreement, you are solely responsible for your own taxes, reporting, withholdings, filings, permits, and compliance obligations, unless applicable law requires otherwise.
If Valye enters into a separate paid arrangement with you, you will remain an independent contractor unless the parties expressly agree otherwise in writing. You will not be entitled to employee benefits, workers’ compensation coverage, unemployment benefits, paid leave, retirement benefits, or similar protections associated with employment, except as required by law.
You grant Valye the right to use your name, biography, approved headshot, social handles, business affiliation, and other profile information you provide in connection with contributor pages, published content, archives, promotional materials, social posts, newsletters, and other marketing or editorial uses related to your Submission or Published Content.
You agree not to submit any content that:
Valye may remove, depublish, modify, annotate, or restrict access to Published Content at any time for legal, factual, editorial, technical, business, compliance, or reputational reasons.
If you identify a material factual error in Published Content based on your Submission, you may notify Valye at [[email protected]]. Valye may, but is not obligated to, issue a correction, clarification, update, or removal.
If you are given access to Contributor Tools, accounts, dashboards, or related systems, you agree to:
Valye may suspend or terminate access at any time.
Valye may store Submission records, drafts, statuses, communications, and metadata for operational, legal, editorial, analytical, security, and archival purposes.
Valye does not guarantee continued access to any draft history, saved status, uploaded materials, or contributor dashboard records.
Any suggestions, product ideas, workflow recommendations, editorial feedback, or feature requests you provide to Valye may be used by Valye without restriction, attribution, or compensation, and you grant Valye a perpetual, worldwide, royalty-free license to use them for any purpose.
Valye may suspend or terminate this Agreement or your contributor access at any time, with or without notice, for convenience or for any reason including suspected breach, legal risk, quality concerns, abuse, misconduct, or inactivity.
You may stop submitting content at any time. However, termination does not affect any rights already granted to Valye under this Agreement with respect to materials previously submitted or published.
Sections that by their nature should survive termination will survive, including ownership, licenses, disclaimers, indemnification, limitations of liability, dispute resolution, and governing law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CONTRIBUTOR TOOLS, SUBMISSION WORKFLOWS, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
VALYE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
VALYE DOES NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALYE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, CONTENT, OR REPUTATION, ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR SUBMISSIONS, OR THE CONTRIBUTOR TOOLS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALYE’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:
(A) ONE HUNDRED U.S. DOLLARS (US $100), OR
(B) THE AMOUNT, IF ANY, ACTUALLY PAID BY VALYE TO YOU UNDER A SEPARATE WRITTEN CONTRIBUTOR AGREEMENT FOR THE SPECIFIC MATTER GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY.
You agree to defend, indemnify, and hold harmless Valye and its affiliates, officers, directors, employees, contractors, service providers, licensors, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
Valye reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully.
You agree to comply with all applicable laws, regulations, and industry rules in connection with your Submissions and use of the Contributor Tools, including laws relating to intellectual property, privacy, publicity, consumer protection, disclosures, securities, sanctions, anti-corruption, and electronic communications.
Your use of the Contributor Tools and your submission of content are also subject to the Valye Privacy Policy available at [https://www.valye.com/privacy-policy].
You acknowledge that Valye may collect, process, store, and retain personal information and Submission-related data in accordance with the Privacy Policy and as reasonably necessary to operate editorial workflows, user accounts, security systems, and legal compliance functions.
This Agreement and any dispute arising out of or relating to this Agreement, your Submissions, or the Contributor Tools will be governed by the laws of the State of [Florida], without regard to conflict-of-law principles.
Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in [Palm Beach, FL], and each party consents to the jurisdiction and venue of those courts.
If you prefer an arbitration clause instead of court venue, this section should be revised by counsel before publication.
Valye may update this Agreement from time to time. The updated version will become effective when posted, unless a later effective date is stated.
Your continued use of the Contributor Tools or continued submission of content after the updated version becomes effective constitutes your acceptance of the revised Agreement.
This Agreement constitutes the entire agreement between you and Valye regarding contributor submissions and supersedes prior or contemporaneous understandings on that subject, except for any separate written agreement signed by Valye that expressly supplements or overrides this Agreement.
You may not assign or transfer this Agreement or any rights or obligations under it without Valye’s prior written consent.
Valye may assign this Agreement freely in connection with a merger, acquisition, restructuring, sale of assets, or operation of its business.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Valye’s failure to enforce any provision of this Agreement will not constitute a waiver of that provision or any other provision.
