These Terms of Use (“Terms”) govern your access to and use of the websites, applications, APIs, and services operated by Valye (collectively, the “Service”). These Terms form a legally binding agreement between you and Valye (“Valye,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Valye is an AI-powered research and analysis platform that may use publicly available information and licensed third-party sources to generate research outputs, including summaries, commentary, metrics, and an AI-generated score (the “Valye Score”).
The Service is provided for informational and educational purposes only.
No advice. The Service does not provide investment, legal, tax, or financial advice, and nothing on the Service should be construed as:
You are solely responsible for your decisions. You should conduct your own research and consult qualified professionals as needed.
No fiduciary relationship. Your use of the Service does not create any advisor–client, broker–dealer, investment adviser, financial planner, or fiduciary relationship between you and Valye.
You may use the Service only if you:

Notify us promptly of unauthorized access. We may suspend or terminate accounts to protect the Service or enforce these Terms.

We may investigate violations and take action, including suspension, termination, and legal remedies.
The Service may produce AI-generated outputs. You acknowledge that:
Valye does not guarantee the accuracy, completeness, or suitability of any output, including the Valye Score.
The Service may rely on or link to third-party sources and services (e.g., public filings, news, market data providers) and may display advertising (including via Google AdSense).
We do not control and are not responsible for:
Your use of third-party services is at your own risk and may be subject to their terms.
Our collection and use of personal information is described in our Privacy Policy (incorporated by reference). The Service may use cookies and similar technologies, including for analytics (GA4) and advertising (AdSense), subject to your cookie choices and applicable law.
The Service (including software, models, algorithms, scoring methodology, visual design, text, graphics, logos, and compiled outputs) is owned by Valye or its licensors and is protected by intellectual property laws.
License to you. Subject to these Terms, Valye grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business research purposes.
You may not:
Trademarks. “Valye” and related marks are Valye trademarks. Unauthorized use is prohibited.
Your inputs. If you submit content to the Service (e.g., prompts, text, watchlists, notes, uploads) (“User Content”), you retain ownership of your User Content as between you and Valye.
License you grant to Valye. You grant Valye a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and use your User Content only as necessary to operate, provide, secure, and improve the Service, and to comply with law.
Feedback. If you provide suggestions or feedback, you grant Valye the right to use it without restriction or compensation.
You represent you have the rights to submit User Content and that it does not violate law or third-party rights.
If you purchase a paid plan:
No refunds unless required by law (or unless a written refund policy applies at purchase). We may change pricing or plans with notice as required by law.
If you use Valye APIs:
We may suspend or terminate your access immediately if we believe you:
You may stop using the Service at any time. Upon termination, your license ends and you must stop using the Service. Sections intended to survive (e.g., disclaimers, limitation of liability, indemnity) will survive.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that outputs will be accurate or suitable for any purpose.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALYE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
TO THE EXTENT PERMITTED BY LAW, VALYE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

You agree to indemnify, defend, and hold harmless Valye and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
We may modify, suspend, or discontinue the Service (in whole or part) at any time. We may update these Terms from time to time. When we do, we will update the “Last Updated” date above.
Your continued use of the Service after changes become effective means you accept the updated Terms.
These Terms are governed by the laws of [State of Florida, USA], excluding conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in [Florida], and you consent to their jurisdiction.

Some privacy laws (including the California Consumer Privacy Act as amended by the CPRA) define “sell” or “share” broadly to include certain disclosures of personal information for cross-context behavioral advertising.
Valye does not sell personal information for money. However, if we use advertising/measurement technologies (such as Google AdSense cookies or similar identifiers) that may be considered “sharing” under applicable law, you may have the right to opt out.
